My employer has asked me to choose an appropriate E&M procedure code for his charges, my understanding is that I can not legally do this correct?
Also if a diagnosis is not included in note under dx or problem list but is mentioned within the note, I then may assign that dx to charge?

Yes, you can assign an EM code based on the documentation of the history, exam and medical decision making.
